HISTORY

The BMCE BANK OF AFRICA Group has resulted from the takeover of the sub-Saharan banking group BANK OF AFRICA, by the Moroccan banking group BMCE Bank.

The main steps of the vocation to expand the scope of the banking group on the mainland and the setting up are :

• 1959: Creation of the BMCE Bank by the State of Morocco;

• 1972: BMCE Bank was the first Moroccan bank to settle abroad with a new office in Paris;

• 1983: Birth of BANK OF AFRICA, with the opening of BANK OF AFRICA-MALI, the first private bank with entirely African capital in Francophone Africa;

• 1988: Creation of AFRICAN FINANCIAL HOLDING (AFH), a holding-company which objective was to create a Sub-Saharan financial group;

• 1989: Creation of BMCE International in Madrid;

• 1990: Creation of the BANK OF AFRICA-BENIN;

• 1994: Creation of the BANK OF AFRICA-NIGER, as a result of the acquisition of the Nigerien subsidiary of the Nigerian International Bank (NIB), founded in 1989;

• 1995: Privatization of BMCE Bank 

• 1996: Creation of the BANK OF AFRICA-COTE D’IVOIRE, as a consequence of the acquisition of UBCI-Banafrique founded in 1980;

• 1998: Creation of the BANK OF AFRICA-BURKINA FASO;

• 1998: Creation of BMCE CAPITAL, the merchant and investment bank of BMCE Bank Group;

• 1999: Creation of the BANK OF AFRICA-MADAGASCAR, with the acquisition of Bankin'ny Tantsaha Mpamokatra (BTM) / National Bank for Rural Development founded in 1989;

• 2000: The consortium created by BMCE Bank and Banque de Développement du Mali (BDM) has taken the BMCD over and merged the two Malian banks;

• 2001: Creation of the BANK OF AFRICA-SENEGAL;

• 2003: BMCE Bank founded an investment bank in Senegal: BMCE Capital Dakar;

• 2004: Creation of the BANQUE DE L’HABITAT in BENIN;

• 2004: Creation of the BANK OF AFRICA-KENYA, as a result of the acquisition of Crédit Agricole Indosuez Bank founded in 1981;

• 2004: La Congolaise de Banque is founded in Congo-Brazzaville by BMCE Bank together with the Congolese government and private shareholders;

• 2006: Creation of the BANK OF AFRICA-UGANDA, as a result of the acquisition of Sembule Investment Bank Limited established in 1985;

• 2006: Creation of Axis Capital an investment bank in Tunisia by BMCE Bank;

• 2007: Creation of the BANK OF AFRICA - TANZANIA, as a result of the acquisition of Eurafrican Bank - Tanzania Ltd (EBT), founded in 1995;

• 2007: Alliance of BMCE Bank Group and BANK OF AFRICA, BMCE Bank becoming the reference shareholder of the Bank of Africa Group with participation up to 35% of the capital;

• 2007: AFRICAN FINANCIAL HOLDING (AFH) changed its name and became BOA GROUP;

• 2008: Acquisition of BANQUE DE CREDIT de Bujumbura in Burundi established in 1909 under the name Banque du Congo Belge (BCB);

• 2008: Reinforcement of the participation of BMCE Bank in the capital of BOA GROUP from 35% to 42.5%;

• 2010: Creation of the BANK OF AFRICA in Democratic Republic of Congo

• 2010: Creation in Paris of BOA-FRANCE;

• 2010: Creation of the BANK OF AFRICA-DJIBOUTI, as a result of the acquisition of Banque Indosuez Mer Rouge (BIMR) founded in 1908;

• 2010: Takeover of the BANK OF AFRICA Group, as a consequence of the rise of BMCE Bank shares in its capital up to 55.8%;

• 2011: BMCE Bank shares in the capital of BOA GROUP continue rising reaching 59.39%;

• 2011: Creation of the BANK OF AFRICA-GHANA, with the acquisition of Amalgamated Bank (AMALBANK) founded in 1999;

• 2012: BMCE Bank shares in the capital of BOA GROUP continue rising reaching 65%;

• 2013: BMCE Bank shares in the capital of BOA GROUP continue rising reaching 72.6%;

• 2013: Creation of the BANK OF AFRICA-TOGO;

• 2013: BMCE Bank established in Tunisia its subsidiary Capital Invest;

• 2014: Creation in Ethiopia of a Representative Office by BOA GROUP;

• 2015: Acquisition of Agaseke Bank by BOA GROUP. This microfinance company founded in 2011, became a bank and then operates under the name Bank of Africa-RWANDA

The Group is present in diverse forms in 20 African countries (Benin, Burkina Faso, Burundi, Congo - Brazzaville, Congo - Kinshasa, Côte d'Ivoire, Djibouti, Ethiopia, Ghana, Madagascar, Kenya, Mali, Morocco, Niger, Uganda, Rwanda, Senegal, Tanzania, Togo, Tunisia) and in three European countries (Spain, Great Britain, France).

It currently comprises:

• A network of 19 commercial banks;

• A housing bank in Benin

• 2 leasing companies: Maghrebail in Morocco and Equipbail in Madagascar;

• A consumer credit company: SALAFIN in Morocco

• 2 investment banks and brokerage firms: BMCE Capital in Morocco, ACTIBOURSE in the WAEMU;

• two investment companies: AGORA and ATTICA in Africa southern Sahara;

• An asset management company: BOA-ASSET MANAGEMENT

• A factoring company: Maroc Factoring in Morocco

• A collection company: RM Experts in Morocco.
